Terms and conditions governing our B2B matcha transactions.

These Terms of Service apply to the First Agri B2B Matcha website (first-agri.com/matcha) and related wholesale services. By placing an order or using our services, you agree to these terms. Please read them carefully before proceeding.

1. Acceptance of Terms

Welcome to First Agri Inc. ("we," "us," or "our"). By accessing or using our B2B matcha website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply exclusively to business-to-business (B2B) transactions. Our products and services are intended for business customers, food service professionals, and wholesale buyers only—not for individual consumers.

2. Eligibility

To use our services, you must meet the following requirements:

  • You are a registered business entity, sole proprietor, or authorized representative of a business
  • You are at least 18 years of age
  • You have the legal authority to enter into binding contracts on behalf of your organization
  • Your business operates in the food service, retail, manufacturing, or related industry

3. Products & Pricing

All product descriptions, specifications, and images on our website are provided for informational purposes. While we strive for accuracy, we do not warrant that product descriptions are complete, current, or error-free.

  • Prices are quoted in US Dollars (USD) unless otherwise specified
  • Prices are subject to change without prior notice
  • Quoted prices do not include shipping, customs duties, taxes, or other fees unless explicitly stated
  • We reserve the right to correct pricing errors and cancel orders placed at incorrect prices
  • Volume discounts may be available; contact us for a custom quote

4. Orders & Minimum Quantities

All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.

  • Minimum Order Quantity (MOQ): 5kg for most products
  • Sample orders may be available for qualified business customers
  • Orders are confirmed only upon written acknowledgment from First Agri
  • Lead times vary by product and order volume; typical production time is 2-4 weeks
  • Custom blends or private label orders may require higher MOQs and longer lead times

5. Payment Terms

We accept the following payment methods for B2B orders:

  • Wire Transfer / Bank Transfer (preferred for international orders)
  • Credit Card (Visa, Mastercard, American Express) via secure payment processing
  • PayPal for select transactions
  • Payment terms (Net 30, etc.) may be available for established customers upon credit approval
  • First-time customers are typically required to pay in full before shipment
  • All payments must be received in full before goods are released for shipment unless otherwise agreed

6. Shipping & Delivery

We ship internationally to most countries. Shipping terms and responsibilities are as follows:

  • Standard delivery time is 7-14 business days for international orders, depending on destination
  • Shipping costs are calculated based on weight, dimensions, and destination
  • Default shipping terms are EXW (Ex Works) Hamamatsu, Japan, unless otherwise agreed
  • FOB, CIF, and DDP terms are available upon request
  • Risk of loss transfers to the buyer according to the agreed Incoterms
  • Buyer is responsible for all import duties, taxes, customs clearance, and local delivery charges unless DDP terms are agreed
  • We will provide tracking information once goods are dispatched

7. Returns & Refunds

Due to the perishable nature of our products and food safety regulations, our return policy is limited:

  • Products may only be returned if they arrive damaged, defective, or do not match the order specifications
  • Claims must be submitted within 7 days of delivery with photographic evidence
  • Refunds or replacements will be issued at our discretion after investigation
  • Products returned without prior authorization will not be accepted
  • Shipping costs for returns due to customer error are the responsibility of the buyer
  • Custom or private label orders are non-refundable

8. Quality Guarantee

We are committed to delivering premium quality matcha products:

  • All products meet Japanese food safety standards and regulations
  • Certificates of Analysis (COA) are available upon request
  • Products are tested for pesticide residues, heavy metals, and microbiological contamination
  • Organic certified products comply with JAS, USDA NOP, and EU organic standards
  • Quality claims must be submitted within 14 days of delivery
  • We will work with you to resolve any quality issues promptly and fairly

9. Intellectual Property

All content on this website is the property of First Agri Inc. and is protected by intellectual property laws:

  • The First Agri name, logo, and branding are trademarks of First Agri Inc.
  • Product images, descriptions, and marketing materials may not be used without written permission
  • Authorized resellers may be granted limited license to use certain materials for marketing purposes
  • Any unauthorized use of our intellectual property may result in legal action

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • First Agri shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim shall not exceed the amount paid by you for the specific products or services giving rise to the claim
  • We are not liable for delays or failures in performance due to causes beyond our reasonable control (force majeure)
  • We make no warranties, express or implied, regarding merchantability or fitness for a particular purpose beyond those explicitly stated
  • You agree to indemnify and hold First Agri harmless from any claims arising from your use of our products or services

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

  • Any disputes arising from these Terms shall be resolved through good-faith negotiation
  • If negotiation fails, disputes shall be submitted to binding arbitration in Hamamatsu, Japan
  • The language of arbitration shall be English or Japanese, as mutually agreed
  • The Hamamatsu District Court shall have exclusive jurisdiction for any matters not subject to arbitration
  • You waive any objection to venue in Hamamatsu, Japan
